1. Acceptance of Terms

By accessing, onboarding, or using GokaBiz in any capacity—whether as an administrator, manager, cashier, student companion, or business customer—you agree to be legally bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of an MSME or business entity, you represent that you possess the authority to bind such entity.

2. Service Description & Modular Engines

GokaBiz provides an enterprise-grade, multi-tenant business operating system designed for Indian MSMEs. The platform offers specialized industry modules, including:

• Retail POS & Inventory Management
• Costume & Equipment Rental Tracking (Security deposit lifecycle, date-range blocking)
• Driving School Operations (Student companion portal, RTO LL radar, batch scheduling)
• Google Business Profile Management & AI Review Booster Kits
• Branded Digital QR Hub & Smart Landing Pages
• Automated Proof-Engine & Multi-Channel Lead Ingestion

3. Subscriptions, Engine Pricing & Billing

GokaBiz follows a staff-led tenant onboarding model with modular engine activation. Pricing is defined by the tenant's tailored subscription plan and confirmed at onboarding:

• Billing Cycle: Recurring platform subscriptions are billed on a monthly cycle. Monthly invoices are generated per tenant account.
• Payment Settlement: Payments are processed via UPI, bank transfer, or authorized digital channels. Platform staff verifies payment receipt and locks in the tenant's active status.
• Grace Period & Suspension: Invoices carry a 7-day grace period from the invoice due date. Unpaid accounts may experience engine suspension until outstanding dues are settled.

5. Intellectual Property Rights

The GokaBiz software, codebase, interface designs, trade secrets, and logos are the sole and exclusive proprietary property of Goka AiTech Systems.

Tenants retain full ownership of their customer records, business logos, product catalogs, and transactional data. By uploading content, tenants grant Goka AiTech Systems a non-exclusive license strictly necessary to host, process, and display such data as requested to fulfill the service.

6. Limitation of Liability

To the maximum extent permitted by Indian law, Goka AiTech Systems shall not be liable for any indirect, incidental, punitive, or consequential damages, including lost profits or business interruptions, arising out of the use or inability to use the platform or third-party API rate limiting.

7. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or related to these Terms or the platform shall be subject to the exclusive jurisdiction of the competent courts located in Maharashtra, India.
